1. Service Provider

These Terms and Conditions govern the relationship between you ("User" or "Student") and Synthetix Education Group LLC, a California limited liability company with registration number C4582910, located at 156 2nd St, 4th Floor, San Francisco, CA 94105, USA ("Synthetix", "we", "us", or "our").

2. Description of Services

Synthetix provides educational programs and resources focused on the integration of generative artificial intelligence into digital design workflows. Our services include, but are not limited to:

AI UI Mastery: Professional training in visual design using diffusion models.
Generative UX Research: Training in data synthesis and user persona automation.
Prompt Engineering for Devs: Technical training in code generation and component architecture.
Access to AI Tools: Provision of enterprise-level tool licenses for educational use.
Career Services: Portfolio reviews, interview coaching, and hiring partner introductions.

3. User Obligations

By accessing our services, you agree to:

Provide accurate and complete information during enrollment and account creation.
Maintain the confidentiality of your account credentials and AI tool licenses.
Use the provided AI tools in accordance with their respective Terms of Service and ethical guidelines provided by the Academy.
Not engage in any activity that disrupts or interferes with our website, servers, or educational environment.
Respect the intellectual property rights of Synthetix and other students.

4. Payment and Refunds

Enrollment in our programs requires payment of tuition as specified on our website. All payments are processed through secure, encrypted payment gateways.

Payment Plans: If you opt for an installment plan, you agree to fulfill all scheduled payments regardless of course completion status.
Refund Policy: We offer a full, no-questions-asked refund if requested within the first seven (7) calendar days of your program start date. Refund requests after this period will be evaluated on a case-by-case basis and may be subject to administrative fees.
Failed Payments: Failure to fulfill payment obligations may result in temporary suspension of access to course materials and AI tools.

5. Intellectual Property

The ownership of intellectual property in an AI-augmented environment is complex. Our policy is as follows:

Academy Content: All course materials, syllabuses, proprietary prompt frameworks, and instructional videos are the exclusive property of Synthetix Education Group LLC.
Student Projects: Students retain the copyright to the final digital products they create during the course, subject to the terms of the third-party AI tools used.
License to Synthetix: By submitting projects for assessment or to the student gallery, you grant Synthetix a non-exclusive, worldwide, royalty-free license to use, display, and reproduce your work for educational and promotional purposes.
AI-Generated Assets: Intellectual property rights in raw AI-generated outputs are governed by the terms of the respective tool providers (e.g., OpenAI, Midjourney).

6. Ethical AI Use

Synthetix Academy promotes the responsible and ethical use of artificial intelligence. Students are prohibited from using the provided tools to generate:

Deceptive or misleading content (e.g., "deepfakes" intended to harm).
Hate speech, discriminatory, or harassing material.
Content that infringes on the trademark or copyright of third parties without a valid license.
Malicious code or software.

7. Limitation of Liability

Synthetix provides educational services on an "as-is" and "as-available" basis. To the maximum extent permitted by law, Synthetix Education Group LLC shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use or inability to use our services.

We do not guarantee specific employment outcomes, salary increases, or the continuous availability of third-party AI tools which are outside our direct control. Our total liability for any claim arising out of these terms shall not exceed the total amount of tuition paid by you to the Academy in the twelve months preceding the claim.

8. Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions. Upon termination, your right to use the services will cease immediately, and all licenses for AI tools will be revoked.

9. Dispute Resolution

Any disputes arising out of or relating to these terms shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
